This Agreement is entered into between Sovereign Leads Limited, a company incorporated in Ireland trading as Zen Hut ("Zen Hut", "we", "us", or "our"), and the individual therapist accepting these terms ("Therapist", "you", or "your").

By accepting these terms electronically, creating a therapist account, or providing services through the Zen Hut platform, you confirm that you have read, understood, and agree to be bound by this Agreement.

1. Parties

This Agreement is entered into between Sovereign Leads Limited, a company incorporated in Ireland trading as Zen Hut ("Zen Hut", "we", "us", or "our"), and the individual therapist accepting these terms ("Therapist", "you", or "your").

2. Nature of the Zen Hut Platform

Zen Hut operates a digital platform that connects clients seeking massage and wellness services with independent therapists who provide those services.

Zen Hut provides booking technology, marketing, administrative support, payment processing, and customer service assistance. Zen Hut does not itself provide massage or wellness services. All treatment services are provided solely by independent therapists. The contract for treatment services exists directly between the Therapist and the Client.

3. Independent Contractor Status

You acknowledge that you operate as a self employed independent service provider. Nothing in this Agreement creates an employment relationship, worker relationship, partnership, or joint venture between you and Zen Hut.

You are responsible for your own taxes, insurance, and compliance with applicable laws. You are free to provide services to other businesses or clients outside the Zen Hut platform and are under no obligation to accept any particular booking offered through the platform. Zen Hut is under no obligation to provide you with any minimum level of work or bookings.

4. Eligibility and Onboarding

Therapists must be at least 18 years old, legally entitled to work in the United Kingdom, and possess appropriate training or experience.

Zen Hut may require documents including identification, qualifications, proof of insurance, background checks, and photographs for profile purposes.

5. Therapist Profile

Therapist profiles are created and managed by Zen Hut using information provided during onboarding. Zen Hut may edit, publish, or arrange photography for therapist profiles.

6. Availability and Bookings

Therapists may indicate availability within the Zen Hut system. When a booking is confirmed, therapists are expected to attend and complete the appointment unless exceptional circumstances arise.

7. Therapist Responsibilities

Therapists must provide services with reasonable skill and care, maintain hygiene standards, treat clients respectfully, and comply with applicable laws.

8. Equipment and Materials

Therapists are responsible for supplying and maintaining the equipment and materials necessary to perform treatments unless otherwise specified by Zen Hut.

9. Insurance

Therapists must maintain valid professional liability and public liability insurance appropriate to the services they provide.

10. Payments

Clients pay for bookings through the Zen Hut platform. Therapists must not request or accept payment directly from clients for bookings arranged through Zen Hut.

11. Commission

Zen Hut charges a commission on bookings arranged through the platform. The commission rate shall be no more than 25 percent of the total booking value.

12. Cancellations and Reliability

Therapists are expected to honour confirmed bookings. Repeated cancellations or failures to attend may result in warnings, suspension, or removal from the platform.

13. Client Cancellations

Clients are subject to the Zen Hut cancellation policy. Where cancellation fees are collected, Zen Hut may transfer compensation to the therapist.

14. Client Data and Privacy

Therapists may receive limited client information required to fulfil bookings and must not store or use this information for personal marketing.

15. Non Circumvention

Clients introduced through Zen Hut are considered Zen Hut clients. Therapists must not solicit bookings from those clients outside the platform to avoid platform fees for 6 months following the final booking with that client.

16. Intellectual Property

All intellectual property relating to Zen Hut including branding, websites, and platform technology belongs to Sovereign Leads Limited.

17. Platform Availability

Zen Hut aims to maintain reliable access to the platform but does not guarantee uninterrupted availability.

18. Limitation of Liability

To the maximum extent permitted by law, Zen Hut shall not be liable for indirect or consequential losses arising from use of the platform.

19. Indemnity

The Therapist agrees to indemnify and hold Zen Hut harmless against claims or losses arising from services provided or breach of this Agreement.

20. Suspension and Termination

Zen Hut may suspend or terminate a therapist account where the Therapist breaches this Agreement, fails to maintain insurance, or damages the reputation or safety of the platform.

21. Changes to the Agreement

Zen Hut may update this Agreement periodically. Continued use of the platform following changes constitutes acceptance of the updated terms.

21A. Chargeback and Payment Disputes

Where a client disputes a payment or initiates a chargeback, Zen Hut may investigate and recover associated losses from the Therapist if the dispute relates to the Therapist's service or conduct.

21B. Client Complaints and Service Quality

Zen Hut may investigate client complaints and may issue refunds, warnings, suspensions, or permanent removal from the platform where appropriate.

21C. Platform Reputation and Safety Protection

Zen Hut may suspend therapists whose conduct may endanger safety or damage the reputation of the platform.

22. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
